A Form 4 has four parts: who, what, when, and how. Each row on this site corresponds to one transaction within a Form 4. The filing itself contains all the transactions and the relationships; we surface one row per transaction.
Section 1 — Reporting owner
The reporting owner is the person or entity on whose behalf the form is filed. They are identified by a 10-digit CIK. The name, role, and relationship flags come from the issuer's classification.
Section 2 — Transaction
Each transaction records the security, transaction code (P, S, A, etc.), date, shares, price, ownership type, and post-transaction holdings. We render these as table columns on the latest feed.
Section 3 — Footnotes
Footnotes are the only place a 10b5-1 reference, the indirect-vehicle name, or the relationship exception appears. We scan every footnote for these patterns and surface them as badges.
Section 4 — Signature
The signature is the legal attestation that the form is accurate. We do not display the signature, but the filing-time on each row is the time the SEC received the signed form.
