1. Eligibility

The site is offered to individuals aged 16 or older (the GDPR default for consent) and to legal entities acting in their ordinary course of business. By using the site you confirm that you meet this requirement.

2. The service we provide

The Insiders Post ("the service") is a public-information research tool that re-presents SEC Form 4, Form 144, and related regulatory disclosures filed with the U.S. Securities and Exchange Commission. We add no personal commentary on whether any reported transaction is a good or bad investment decision. The service is provided free of charge and does not require registration.

Source data is fetched from the SEC EDGAR system and from a curated set of supplemental feeds. We may add, remove, or pause features at any time without notice. We do not guarantee uninterrupted availability.

3. Licence to use the site

We grant you a limited, non-exclusive, non-transferable, revocable licence to access the site for personal research, journalism, academic, or internal business use. You may:

  • Browse, search, and view any public page.
  • Quote short excerpts (≤ 75 words per excerpt, ≤ 250 words total per article) with attribution to The Insiders Post and a link to the source page.
  • Bookmark or share links to public pages.

You may not:

  • Scrape the site at a rate that degrades service for other users.
  • Republish, resell, or sublicense the bulk data set (a "bulk" use is anything beyond the short-excerpt licence above).
  • Use the site, its content, or any derived metrics as the basis of an automated investment product, trading signal, or financial advice offering without our written consent.
  • Attempt to bypass rate limits, authentication, or any other access control.
  • Reverse-engineer, decompile, or otherwise attempt to derive the source code of any non-open-source component.

4. No investment advice

Nothing on this site is investment advice, a recommendation to buy or sell any security, a prediction of future price movement, or a substitute for professional financial advice. Filing-derived signals describe characteristics of the filing only and do not imply future performance.

You are solely responsible for your own investment decisions. Always verify regulatory data against the original SEC filing at sec.gov/edgar before acting on it.

5. Acceptable use

You agree not to:

  • Use the site for any unlawful purpose or in violation of any applicable regulation.
  • Submit suggestion-form content that is defamatory, harassing, infringing, or that contains personal data about another person without their consent.
  • Attempt to probe, scan, or test the vulnerability of the service or to breach any security or authentication measure.
  • Use any robot, spider, scraper, or other automated means to access the service for any purpose without our express written permission, except for bona-fide search-engine crawlers that respect /robots.txt.
  • Interfere with or disrupt the service or any server, network, or system connected to the service.

6. User content (suggestions)

When you submit the suggestion form you retain ownership of what you wrote. You grant us a non-exclusive, worldwide, royalty-free licence to read, review, and (if we choose) reply to your suggestion, and to keep a record of it for up to 24 months for abuse-prevention purposes. We do not publish your suggestion publicly without your consent.

7. Intellectual property

The site name, logo, original UI design, original copy, original educational articles, and any code we publish under an open-source licence are owned by the operator of The Insiders Post. SEC filings themselves are public-domain U.S. government works; we claim no copyright over their text.

8. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR OF THE INSIDERS POST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. WHERE LIABILITY CANNOT BE EXCLUDED, IT IS CAPPED AT THE GREATER OF €100 OR THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (WHICH, FOR A FREE SERVICE, IS €100).

Nothing in these terms excludes or limits liability that cannot be excluded under applicable law (e.g. death or personal injury caused by negligence, fraud, or statutory consumer rights in your jurisdiction).

10. Indemnity

You agree to indemnify and hold the operator of The Insiders Post harmless from any claim or demand (including reasonable legal fees) arising out of your breach of these terms or your misuse of the service.

11. Termination

We may suspend or terminate your access to the service at any time, with or without cause, with or without notice. The licence granted in Section 3 ends automatically when you stop using the site. Sections 4, 6, 7, 8, 9, 10, and 12 survive termination.

12. Governing law and disputes

These terms are governed by the laws of Spain. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain, without prejudice to your mandatory consumer-protection rights in the country where you reside.

If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution platform before bringing a claim in court.

13. Changes to these terms

We may update these terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will also be flagged via the consent banner the next time you visit. Continued use of the site after a change constitutes acceptance of the new terms.
